3. Description of the Platform
ArticHall is a platform, available through the Website and, once released, as a mobile application, that aggregates original editorial content published directly by Authors such as news operators, sector experts, journalists and content creators. The Platform allows Users to discover, save, enjoy and purchase reliable, in-depth content, while offering Authors tools to publish, manage and monetise their editorial output.
ArticHall positions itself as a space for quality information, aimed at anyone interested in professional and verifiable content, including information enthusiasts accustomed to paying for access to valuable content.
The Platform is accessible through the Website and, once released, through the App, with the features available on each channel. ArticHall reserves the right to modify, suspend or discontinue the Platform, in whole or in part, at any time, giving Users reasonable notice where possible.
Until the App is released, interested persons may subscribe to the waitlist on the Website by providing their e-mail address, in order to be notified by e-mail when the App becomes available for download. Subscribing to the waitlist does not create an account, is not required in order to use the Website, is reserved for persons aged 14 and above and may be cancelled at any time through the unsubscribe link included in each e-mail. The related personal data is processed in accordance with the Privacy Policy.
4. Registration and Account
4.1 General requirements
In order to register on the Platform, the user must:
- be at least 14 years old;
- have the legal capacity to enter into a binding contract under the law of their country of residence;
- provide accurate, complete and up-to-date information at registration;
- keep their login credentials confidential and secure.
The User is responsible for all activities carried out through their account. In the event of unauthorised access or a breach of account security, the User must notify ArticHall immediately at support@artichall.com .
4.2 User Account
To create a User account, it is necessary to provide: e-mail address, password, username, country and language of reference, and to select at least 4 preferred topics of interest. The User will be kept automatically logged in to the Platform in sessions following the first one.
4.3 Author Account
To create an Author account, the applicant must:
- select the Author type (Media, Journalist, Sector Expert, Content Creator);
- provide a profile name, e-mail address, password, country and language;
- subscribe to an Author Plan with a free trial period of 1 month, choosing between: (a) 3 euros every 3 months; (b) 10 euros per year. The user will not be charged during the trial period and may cancel the plan at any time in their account settings;
- complete the identity verification process through the verification system integrated into the Platform, operated by Stripe as an independent data controller, as described in the Privacy Policy;
- indicate a payment method to receive the Earnings deriving from their Paid Content.
Authors classified as "Media" have the additional option of requesting further verification as a legal entity, by providing: company name, VAT number and country of registration. In the absence of such verification, the individual whose identity has been verified for the "Media" Author profile acknowledges that they are personally responsible for the Content published.
ArticHall reserves the right to approve or reject Author registration requests at its sole discretion. ArticHall also reserves the right to offer differentiated economic or access conditions to categories of Authors identified at its discretion, including time-limited promotions, invitation-only programmes or launch tiers, according to the specific conditions communicated in the relevant invitation letter.
In the case of a private invitation, the conditions indicated in the invitation letter prevail over these Terms solely with respect to the aspects expressly derogated therein; for everything not otherwise specified, these Terms remain applicable. The personal invitation link contained in the invitation letter is strictly confidential to the recipient indicated therein and may not be transferred or shared with third parties. Use of that link for registration constitutes acceptance of the specific conditions indicated therein, in addition to these Terms.
4.4 Uniqueness and non-transferability of the account
The account is strictly personal and may not be sold, assigned or transferred to third parties. It is prohibited to create multiple accounts with the same identity or to access the Platform where a previous account has been suspended or deleted for breach of these Terms.
5. Authors' Content
5.1 Ownership and licence
Authors retain full ownership of the intellectual property rights in their Content. By publishing Content on the Platform, the Author grants ArticHall a non-exclusive, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to reproduce, distribute, publicly display, translate, adapt and otherwise use the Content to the extent necessary for the operation, promotion and improvement of the Platform and related services.
ArticHall will never sell Authors' Content to third-party platforms. In the event of a transfer of the business or its assets, the licences granted by Authors may be transferred to the transferee.
To the extent permitted by applicable law, the Author waives the right to assert any moral rights in their Content against ArticHall, in relation to the activities permitted by this licence (for example, the addition of watermarks or transparency labels).
5.2 Author warranties
By publishing Content, the Author warrants that:
- the Content complies with these Terms and applicable law;
- the Author owns the intellectual property rights in the Content or has obtained all necessary licences, authorisations and written consents;
- the Content does not infringe the rights of third parties, including intellectual property rights, privacy and image rights;
- Content that includes third-party material carries the due attributions and authorisations.
The Author undertakes to indemnify and hold ArticHall harmless from any claim, loss or expense (including legal fees) arising from the breach of these warranties.
5.3 Co-published Content
The Author may mention another Author when uploading Content (co-publication), in accordance with the following arrangements:
- "Team" relationship (Author belonging to a Media's team): for Paid Content, the Earnings are automatically credited to the Media's account; the consent of the mentioned Author is not required for publication.
- "Collaboration" relationship (where there is no Team link): for Paid Content, the uploading Author defines the percentage split of the Earnings with the mentioned co-author; for both types (free and paid), the mentioned co-author must accept the collaboration before publication.
ArticHall is not a party to any co-publication agreement and is not responsible for any disputes arising between the Authors involved. Any revenue-sharing agreement constitutes a private agreement between the Authors, which ArticHall is not required to execute or enforce.
5.4 Editorial responsibility
ArticHall does not select, approve or guarantee the accuracy, lawfulness, completeness or reliability of the Content published by Authors. The Author type (Media, Journalist, Sector Expert, Content Creator) is self-assigned and ArticHall neither verifies nor assumes any responsibility for its accuracy.
ArticHall reserves the right to remove, suspend or restrict access to any Content that is found to be in breach of these Terms or applicable law, notifying the Author concerned where possible.
6. Acceptable Use and Prohibited Conduct
6.1 General obligations
All Users and Authors undertake to use the Platform exclusively for lawful purposes and in accordance with these Terms.
6.2 Prohibited conduct
The following is prohibited, by way of example and not limitation:
- publishing Content that is unlawful, defamatory, pornographic, threatening, discriminatory or harmful to the rights of third parties;
- publishing false news in bad faith;
- publishing content that infringes the intellectual property rights of others without the necessary authorisations;
- uploading or spreading malware, viruses, malicious code or any element capable of compromising the operation of the Platform;
- attempting to gain unauthorised access to other users' accounts or to the Platform's systems;
- carrying out scraping, automated data collection or reverse engineering of the Platform;
- using bots or other automated systems to generate artificial traffic or interactions;
- impersonating other Users, Authors or third parties;
- sharing login credentials with third parties;
- selling, assigning or transferring one's account;
- using the Platform in a manner that harms the reputation of ArticHall or of other Users.
6.3 Specific obligations of Authors
In addition to the prohibited conduct set out in Article 6.2, Authors may not:
- publish Content that is misleading as to its nature or type (e.g. passing off paid content as free or vice versa);
- remove, hide or make inaccessible Content for which Users have already made a payment, unless otherwise provided by law or by these Terms;
- solicit payments outside the Platform in place of in-app payments;
- publish Content that constitutes legal, medical, financial or investment advice without the necessary qualifications and warnings.
6.4 Transparency labels
Authors are required to indicate, when uploading Content, the following labels where applicable:
- "adv" or "Sponsored": for any advertising or promotional Content produced in return for payment by third parties;
- "Made with AI": for any Content generated or significantly modified using artificial intelligence tools.
Failure to apply the transparency labels where the stated conditions are met constitutes a breach of these Terms and may result in the removal of the Content and the suspension or deletion of the account.
6.5 Fact-Checking
The Fact-Checking feature is reserved exclusively for registered Authors. Comments entered in the Fact-Checking section must be well-founded, relevant to the Content being checked and compliant with these Terms. ArticHall does not verify the accuracy of Fact-Checking comments and is not liable for them.
7. Monetisation Model and Payments
7.1 Free Content
Free Content is accessible to any registered User at no cost. The User may save Free Content as a favourite (bookmark), save it in Offline In-App mode and subsequently download the file directly to their device.
7.2 Paid Content — Purchase Options
To access Paid Content, the User must unlock the Content through one of the following options, defined by the Author:
- a) Profile Subscription: recurring monthly payment granting unlimited access to all Paid Content published by the Author for the entire duration of the subscription. The User may save Content in Offline In-App mode, but may not download it to their device.
- b) Compilation Subscription: recurring monthly payment granting unlimited access to all Paid Content included in a specific Compilation for the entire duration of the subscription. The User may save Content in Offline In-App mode, but may not download it to their device.
- c) Compilation Purchase: one-off payment granting unlimited and permanent access to all Paid Content included in a specific Compilation at the time of purchase. The User may save Content in Offline In-App mode and download it to their device.
- d) Single Content Purchase: one-off payment granting unlimited and permanent access to a specific item of Paid Content. The User may save the Content in Offline In-App mode and download it to their device.
7.3 Offline In-App and Download to Device
Offline In-App mode allows the User to access Content within the Platform without an Internet connection, where available on the channel used (Website or App). Download to Device allows the file to be physically saved on the User's device and is available exclusively for:
- Free Content;
- Content acquired through a Single Content Purchase or a Compilation Purchase.
Upon expiry of a subscription (Profile Subscription or Compilation Subscription), Content saved in Offline In-App mode during the subscription period will remain visible in the dedicated folder of the User's profile but will no longer be accessible, until manually deleted by the User or until the subscription is renewed.
7.4 Automatic renewal and cancellation of subscriptions
Subscriptions (Profile Subscription and Compilation Subscription) renew automatically at the end of each subscription period, unless cancelled by the User before the end of the current period. By selecting the subscription option, the User authorises the automatic charge of the relevant amount to the payment method used for the purchase: on the Website, through the payment processor Stripe; in the App, through the in-app payment system of the Apple App Store or Google Play.
The User may cancel a subscription at any time: for subscriptions purchased on the Website, from their account settings; for subscriptions purchased in the App, from the subscription management settings of the Apple App Store or Google Play account used for the purchase. Cancellation takes effect at the end of the current subscription period, during which the User retains access to the Content. No further charges will be made following cancellation.
7.5 Wallet
The Wallet is a rechargeable digital wallet that the User may top up in order to make in-app purchases quickly and immediately. The Wallet may be topped up on the Website through Stripe and, in the App, through the in-app payment systems of Apple and Google. [To be confirmed with the developers: whether the Wallet balance is shared between the Website and the App] Wallet credits are subject to a maximum amount determined by ArticHall. Wallet credits do not accrue interest and are non-refundable, unless otherwise provided by law or expressly provided for in these Terms.
If a purchase exceeds the balance available in the Wallet, the purchase will be blocked and a notification of insufficient Wallet credit will be sent to the User.
7.6 Platform Fee and Author Earnings
On every economic transaction carried out through the Platform, ArticHall retains a Platform Fee equal to 3.5% of the gross amount. The remaining 96.5% (net of applicable taxes and any fee charged for third-party payment processing, including the fees charged by Apple and Google on purchases made in the App) constitutes the Author Earnings.
Earnings will be credited to the Author's bank account, subject to the Author providing their bank details in the profile settings. Earnings are available for withdrawal once settled and reflected in the available balance of the account. ArticHall reserves the right to withhold, suspend or revoke the Author's Earnings in the event of a breach of these Terms or fraudulent activity.
The Author is solely responsible for correctly providing their bank details. In the case of incorrect information, ArticHall will not be liable for any delays or loss of payment.
7.7 Prices and changes
The prices of Paid Content are determined independently by Authors within the parameters established by ArticHall. ArticHall reserves the right to change the fee structure or rates applicable to Authors, giving reasonable notice.
7.8 Payment methods
The Platform accepts the payment methods indicated at the time of purchase. Payments made on the Website are processed by Stripe, a certified third-party payment processor. Purchases made in the App are processed exclusively through the in-app payment systems of the Apple App Store and Google Play, which are governed by the terms and privacy policies of Apple and Google. ArticHall does not store Users' credit card details. Payment data are handled directly by the payment processor or by the app store concerned, in accordance with its own privacy and security policy, as described in the Privacy Policy.
8. Refunds and Disputes
8.1 General principle
Except as otherwise provided in this Article or by applicable law, all purchases made on the Platform are final and non-refundable. By purchasing digital Content or starting a subscription, the User expressly acknowledges that access to the service begins immediately and declares that they waive the right of withdrawal provided for by e-commerce legislation to the extent permitted by law.
8.2 Refund cases
ArticHall may grant a refund in the following limited circumstances:
- duplicate charges due to a technical error;
- technical impossibility of accessing the purchased Content, not attributable to the User's device or connection;
- verified fraudulent transactions;
- removal of the Content by the Author before the User who purchased it has had a reasonable opportunity to enjoy it.
8.3 Refund request procedure
Refund requests must be sent to support@artichall.com within 14 days of the date of the transaction, including: the transaction details (amount, date, Author, Content), the reason for the request and any relevant supporting documentation. ArticHall undertakes to review the request within 7 business days and to communicate its decision by e-mail. Approved refunds will be processed within 7-10 business days to the original payment method.
Purchases made in the App through the Apple App Store or Google Play are processed and, where applicable, refunded by Apple or Google under their own terms and refund policies. ArticHall cannot directly refund such purchases: refund requests relating to them must be submitted to the app store concerned.
8.4 Disputes and chargebacks
Before initiating a dispute with their bank or credit card issuer (chargeback), the User must first contact ArticHall at support@artichall.com to allow an attempt at an amicable resolution of the dispute. ArticHall reserves the right to suspend or delete the User's account in the event of unfounded, abusive or fraudulent disputes.
9. Privacy and Data Collection
9.1 Privacy Policy
The processing of the personal data of Users and Authors is governed by ArticHall's Privacy Policy, available on the Website and, once the App is released, within the App in the profile settings. The Privacy Policy forms an integral part of these Terms. Acceptance of these Terms does not constitute consent to any processing of personal data for which the law requires consent (for example, Personalised Navigation, geolocation data, promotional communications or the waitlist): such consent is requested separately, is optional and may be withdrawn at any time, as described in the Privacy Policy.
9.2 Navigation modes
The Platform offers two navigation modes, which the User may select at any time:
- Private Navigation: ArticHall collects only the data strictly necessary for the operation of the service (e.g. language preferences, saved content, interactions). This is the mode active by default if the User does not provide the additional consents requested.
- Personalised Navigation: subject to the User's explicit consent, ArticHall may collect additional data, including traffic data and geolocation data (the latter subject to a further consent request, presented via push notification in the App or through a dedicated prompt on the Website), in order to provide personalised content recommendations.
Activation of Personalised Navigation without consent to the collection of either traffic data or geolocation data results in the automatic restoration of Private Navigation. The User may change their navigation preferences at any time from their account settings.
9.3 Recommendations and transparency
For each item of Content recommended in the "For You" section, the User has access to an information point indicating the types of personal data used to generate that specific recommendation (e.g. followed pages, latest searches, latest pages visited). Similar information is available for personalised recommendations within the recommendation bars in the Discovery section.
10. Intellectual Property of the Platform
With the exception of the Content published by Authors, all elements of the Platform — including the software, design, texts, icons, logos, trademarks and features — are the exclusive property of ArticHall or its licensors and are protected by intellectual property laws.
These Terms do not confer on the User or the Author any right, title or interest in the Platform, the trademarks or any other intellectual property element of ArticHall.
It is prohibited to reproduce, distribute, modify, create derivative works from, publicly display or otherwise exploit the content of the Platform without the prior written consent of ArticHall.
ArticHall reserves the right to take action to protect its intellectual property rights and to report, at the request of Authors, any infringements of intellectual property rights relating to Content published on the Platform.
11. Author Plan
To publish Content on the Platform, the Author must subscribe to an Author Plan, available in the following options:
- Quarterly Plan: 3 euros every 3 months;
- Annual Plan: 10 euros per year.
Both options include a free trial period of 3 months, during which no charge will be made. The Author Plan renews automatically at expiry, unless cancelled by the Author in their account settings. The Author may cancel the Plan at any time and will continue to benefit from the service until the end of the period already paid.
In the event of non-payment of the Author Plan, ArticHall reserves the right to suspend the ability to publish new Content until payment is regularised.
12. Suspension, Deletion and Closure of the Account
12.1 By the User or the Author
Users and Authors may delete their account at any time from the profile settings. In the event of account deletion, Content purchased through one-off options will remain accessible for a limited period determined by ArticHall, unless otherwise provided by law. Non-refundable Wallet credits are deemed permanently lost upon closure of the account.
12.2 By ArticHall
ArticHall reserves the right to suspend or delete the account of any User or Author, with or without notice, in the following cases:
- serious or repeated breach of these Terms;
- fraudulent conduct or unlawful activity;
- request by the competent authorities;
- any other reason that ArticHall deems appropriate for the protection of the Platform, Users or third parties.
In the event of account deletion for breach of these Terms, ArticHall reserves the right to withhold the Author's Earnings not yet settled and not to make refunds relating to purchases or subscriptions in progress.
ArticHall undertakes to provide written notice of the reasons for the suspension or deletion, unless this is precluded by applicable law or by security requirements.
13. Limitation of Liability
13.1 Exclusions
ArticHall is not liable for:
- Content published by Authors, including its accuracy, lawfulness, completeness or reliability;
- the unavailability of the Internet connection or technical problems relating to Users' devices;
- loss, theft or compromise of login credentials;
- unauthorised use of the account by third parties, where the User has shared their credentials;
- the compatibility of the Platform with all devices and operating systems;
- any interruptions, suspensions or changes to the Platform;
- the conduct of third-party payment service providers, including the operators of the app stores (Apple and Google);
- indirect, consequential, incidental or punitive damages arising from the use of the Platform, to the extent permitted by law.
13.2 Cap on liability
To the maximum extent permitted by applicable law, ArticHall's total liability to the User or the Author, for any cause and regardless of the basis of the claim, shall in no case exceed the total amount paid by the User or the Author to ArticHall in the 12 months preceding the event giving rise to the liability, or 50 euros, if greater.
13.3 No limitation for wilful misconduct or gross negligence
Nothing in these Terms limits or excludes ArticHall's liability for wilful misconduct or gross negligence, for death or personal injury caused by ArticHall's negligence, or for any other liability that cannot be lawfully excluded or limited.
14. Tax Obligations
ArticHall does not provide tax advice. Each Author is solely responsible for declaring and paying all applicable taxes and duties on their Earnings in their jurisdiction of residence, including VAT, income taxes and social security contributions.
ArticHall may be required to collect tax information from Authors and to communicate it to the competent tax authorities in the cases provided for by law, such as under the reporting obligations of Council Directive (EU) 2021/514 (DAC7). ArticHall may apply applicable indirect taxes (e.g. VAT) to transactions carried out through the Platform, in accordance with the regulations in force.
15. Changes to the Terms
ArticHall reserves the right to modify these Terms at any time. Material changes will be communicated to Users and Authors with at least 15 days' notice, via in-app notification, a notice on the Website or e-mail to the registered address. Minor changes or those necessary to comply with legal obligations may be made without notice.
Continued use of the Platform following the entry into force of the changes constitutes acceptance of them. If the User or the Author does not wish to accept the changes, they may delete their account before the effective date.
16. Governing Law and Dispute Resolution
16.1 Governing law
These Terms are governed by Italian law. The mandatory rights to which the consumer User may be entitled under the law of their country of residence remain unaffected.
16.2 Dispute resolution
In the event of a dispute relating to these Terms or the use of the Platform, the User is invited to contact ArticHall in advance at support@artichall.com for an attempt at amicable resolution.
Where amicable resolution is not possible, disputes between ArticHall and consumer Users shall be subject to the exclusive jurisdiction of the court of the consumer's place of residence or domicile, pursuant to Italian Legislative Decree 206/2005 (Consumer Code).
For Authors acting as professionals, any dispute shall be subject to the exclusive jurisdiction of the Court of Naples.
Users resident in the European Union have the right to use the European Commission's online dispute resolution platform, accessible at: https://ec.europa.eu/consumers/odr .
17. General Provisions
